Our Corporate/Transactional practice group attorneys have a broad range of skills. This versatility allows them to remain a principal point of contact with our business clients and to move freely across multiple disciplines to ensure continuity of representation.

Effective representation in the corporate/transactional field only begins with legal and technical expertise. It also requires active listening skills, a commitment to understanding our client’s businesses and becoming an integral part of their team, along with an unwavering focus on achieving optimal results with practical, cost-effective solutions.

The attorneys of Conn Kavanaugh’s Corporate/Transactional practice share all these characteristics, along with a dedication to attentive service. Our business clients include both domestic and international companies, closely held entities ranging from single-owner businesses to large family companies that span generations, small-to-mid-sized entities, licensed professionals from CPAs to plumbing contractors, and entrepreneurs across a variety of industries. We serve clients in many industries including technology, manufacturing, health care, financial services and consulting businesses, franchisees, restaurants, food distributors, real estate holding companies, contractors, and energy companies, to name a few.

Transactional experience is a particular strength of our team. Our business attorneys have decades of experience negotiating deals for acquiring and selling companies. We are strong advocates and skilled negotiators. We approach every deal with insight and diligence to identify and, if possible, resolve issues to prevent problems before and after the deal has closed. We work to anticipate future changes in the structure or ownership of the organization. For example, we could consider how a post-closing lease may limit the owner’s ability to sell the company at a future date, or how a shareholder agreement may affect the company’s ability to raise capital.

To represent our clients most effectively, we frequently employ a discipline known as a Risk Matrix Analysis which enables us to visualize the considerations inherent in a deal, such as known facts, unknown issues, alternative courses of action, timeframes, risks and more. By assembling these considerations in a structured manner at the outset of the matter, we are better able to close the gaps in protection of our clients’ interests.

For many of our clients we operate as Outside General Counsel, which is a cost-effective way for companies to access high quality legal counsel on an ongoing basis. We help our clients structure their business operations, offer advice that may help keep them out of costly disputes, and assist them in planning for future growth. We support our clients with corporate governance and maintenance, formation, and dissolution, drafting and negotiation of contracts.

Commercial Real Estate matters are integral to the management of corporate legal affairs. Our attorneys are involved on a daily basis in purchase, sale, and leasing deals for our clients.
